Client is engaging Savoir Faire Media (Developer), an independent contractor, for the specific purpose of purchasing and developing a Web Site (Project). The terms of this agreement are described below.
During the duration of this agreement, Client agrees to grant Developer sole access to the Web Site files and guarantees that no other party will have access to or rights to change the Web Site files, except for content changes during the final testing stage. If a party other than Developer makes changes to the Web Site files, any errors that are created that must be repaired by Developer, the Client will be charged for the hourly rate of $70, one (1) hour minimum.

A 50% non refundable deposit is due up front, prior to beginning any project. Remaining deposits are due upon completion of draft and prior to website launch.
To begin the Project, Client must provide ready-to-use content, such as logo(s) (unless part of this Agreement), written copy for home page and unique inner pages (including titles and section headings), video and audio files, preferred photos/graphics. Written copy must be delivered in .txt or .doc format. Logos, images, photo, video and audio files must be properly named. Failure to provide this information on time will result in delays and postpone the completion date.
Developer will assess the hourly rate of $55, one (1) hour minimum, for replacing/updating content already entered.
At Client request, Developer will set up content on every page. Refer to ADDITIONAL SERVICES section on the final page to elect this option.
IMPORTANT: Unless part of the Project, Developer will only populate content agreed upon. Developer shall use content provided by Client and is not responsible for grammatical and punctuation errors. If Project includes a photo and/or video gallery, Developer will set up a maximum of 10 photos/videos.
Web Site will be constructed on Client’s server. Once available for demo, Client will be given access. Client agrees to purchase hosting either through Savoir Faire Media’s hosting partner, Velvet Ink Media (on premium HostGator services), or on their own and provide Developer with information.
Developer will fix any errors/bugs/glitches associated with SFM themes for one year after purchase.
Any modification to Developer’s existing code in any way results in automatic cancellation of developer support.
After the initial support period any error/bugs/glitches or additional development request will be charged for at the hourly rate of $70, one (1) hour minimum.
Developer reserves the right to use software and other technologies provided by a third party or an Open Source community (e.g. WordPress).
Future software updates and releases of new technologies cannot be predicted and may cause a Web Site to break, in part or entirely. Any errors/bugs/glitches caused by such updates or releases will be fixed by Developer for an additional hourly fee of $70, one (1) hour minimum.
A separate Web Site Maintenance Agreement may be signed at Client’s request for continues Web Site support.
We do not support third-party plugins. We are not responsible for any bugs/issues created when installing third-part plugins into our themes.
IMPORTANT: Unless Savoir Faire Media is providing hosting services, Developer will charge the hourly rate of $70, one (1) hour minimum, to address such issues as:
1. direct contact with third-party hosting provider,
2. research of server issues,
3. setting up Client server account,
4. training and support of server account

At any time, Client and/or Developer may deem it necessary to terminate the Project. In the event of Project
termination, if the cost of design/development hours exceeds any money received by Developer, the amount to be paid as compensation for additional work hours will be pro-rated based on the hourly rate of $70, one (1) hour minimum. Upon the receipt of compensation, Developer agrees to transfer design files and HTML source code to Client.
Developer may issue a full refund if a notice of Project termination is submitted by Client within five (5) business days of signing this Agreement. Developer has the right to deduct any third-party payment processing costs, such as PayPal fees.
Neither Developer or its employees or agents warrant that the this Project will be completed without interruptions, delays or error-free. Except as otherwise specified in this Agreement, Developer provides its services “as is” and without warranty of any kind. In no event will Developer be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God, the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Project. Developer makes no warranty of any kind, whether expressed or implied, with regard to any third party products, third party content or any software, equipment, or hardware obtained from third parties.
Client and Developer agree to make a good-faith effort to resolve any disagreement arising out of, or in connection with, this Agreement through negotiation. Should the parties fail to resolve any such disagreement within thirty (30) days, any controversy or claim arising out of or relating to this Agreement, including, without limitation, the interpretation or breach thereof, shall be submitted by either party to arbitration in Santa Rosa County, Florida and in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted by one arbitrator, who shall be (a) selected in the sole discretion of the American Arbitration Association administrator and (b) a licensed attorney with at least ten (10) years’ experience in the practice of law and at least five (5) years’ experience in the negotiation of technology contracts or litigation of technology disputes. The arbitrator must issue his or her resolution of any dispute within thirty (30) days of the date the dispute is submitted for arbitration. The written decision of the arbitrator shall be final and binding and enforceable in any court having jurisdiction over the parties and the subject matter of the arbitration.
